GLNS advises EMERAM Capital Partners on the acquisition of sofatutor

GLNS advises funds managed by EMERAM Capital Partners on the acquisition of sofatutor, one of Germany's market-leading digital learning platforms for grades 1 to 12 (K-12).

Sofatutor (, founded in 2008 by Stephan Bayer, is today the most comprehensive online learning platform in the German-speaking world with over one million users, more than 11,000 learning videos as well as exercises and worksheets for 14 different school subjects. Sofatutor, with its team of more than 200 people, supports pupils from primary school to high school graduation - and has become the pioneer and backbone of educational digitalisation and homeschooling, especially in the Corona Year. In addition, sofatutor is now used by around 25 percent of all teachers throughout Germany, as well as in Saxony and Bremen. Sofatutor thus sees itself as the most comprehensive provider of digital learning assistance in Germany, Austria and Switzerland, a market with a total of more than eleven million schoolchildren.

EMERAM Capital Partners is one of the leading private equity firms for medium-sized companies in the German-speaking region and leads an investor consortium including the private equity firm Gimv, which will allocate part of its recently launched Sustainable Bond to sofatutor. Funds advised by EMERAM currently provide €400 million of capital for the development of companies.

GLNS advised comprehensively on the transaction by partners Ludger Schult (Private Equity/M&A), Andreas Scheidle (Tax) and Anselm Lenhard (Finance) as well as partner Daniel Epe and associate Eva-Maria Bayer (both Private Equity/M&A).

GLNS was supported in IP/IT by Lubberger Lehment with partner Benjamin Koch (Munich) and senior associate David Weller (Hamburg). The employment law area was handled by the law firm Pusch Wahlig Workplace Law with Counsel Marius Fritzsche, the area of public procurement law by the law firm pdrei Rechtsanwälte with Simon Bulla.
