GLNS’ long-standing client Marley Spoon SE (“Marley Spoon”), a leading meal-kit supplier, has announced its delisting from the Australian Securities Exchange (ASX).
Following the successful business combination and takeover last summer by former 468 SPAC II SE, now Marley Spoon Group SE, based in Luxembourg and listed in the regulated market of the Frankfurt Stock Exchange, Marley Spoon’s remaining CHESS Depositary Interests (“CDIs”) shall be delisted from ASX (“Delisting”). To this end, Marley Spoon had obtained prior in-principle-advice from the ASX. The Annual General Meeting (AGM) of Marley Spoon on July 19, 2024 has approved the Delisting, as required under Australian law. Following approval by the AGM, the admission of the remaining CDIs to trading on the ASX shall now be revoked and the listing be cancelled by the end of August 2024.
The Delisting is being led and coordinated by Marley Spoon’s General Counsel Johanna Rochel.
GLNS advises Marley Spoon comprehensively on all legal and tax matters (Dr. Bernd Graßl, corporate and capital markets; Andreas Scheidle, tax).
Marley Spoon is being advised by Clayton Utz on the Australian aspects of the Delisting.
