The conversion of Marley Spoon AG into a European Company (SE) has been completed. With the entry of the new legal form in the company’s commercial register on 13 March 2023, a resolution passed by the shareholders at the annual general meeting in May 2022 was implemented.
Marley Spoon is a leading provider of cooking boxes. The company serves customers in Europe, Australia and the United States of America. With the change of legal form, Marley Spoon underlines its self-image as a European and globally oriented company and takes into account the company’s further targeted growth.
GLNS comprehensively advised Marley Spoon on the SE conversion with Dr Bernd Graßl and Malte Krohn. Dr Mathias Hansen (General Counsel) was significantly involved on the side of Marley Spoon.
The following local counsels advised on the appointment of the employee representatives to the Special Negotiating Body in the other concerned European jurisdictions: Netherlands: Stibbe (Paul Vestering, Adem Duldar); Portugal: Cuatrecasas (Sandra Lima da Silveira).
