Long-standing GLNS client Marley Spoon SE (“Marley Spoon”), a leading meal-kit provider listed on the Australian Securities Exchange ASX, has entered into a business combination agreement (“BCA”) for a DE-SPAC transaction with 468 SPAC II SE (“468 SPAC II”), a Luxembourg-based special purpose acquisition vehicle listed on the Frankfurt Stock Exchange. The BCA is subject to customary closing conditions, including approval by the shareholders of 468 SPAC II.

The conversion of Marley Spoon AG into a European Company (SE) has been completed. With the entry of the new legal form in the company’s commercial register on 13 March 2023, a resolution passed by the shareholders at the annual general meeting in May 2022 was implemented.

Die Umwandlung der InTiCa Systems AG in eine Europäische Gesellschaft (SE) ist abgeschlossen. Mit der am 10. März 2023 erfolgten Eintragung der neuen Rechtsform in das für die Gesellschaft zuständige Handelsregister wurde ein Beschluss umgesetzt, den die Aktionäre im Juli 2022 auf der ordentlichen Hauptversammlung gefasst hatten.

GLNS has appointed Julia Klesse, LL.M. as partner in the Dispute Resolution practice with effect from 1 January 2023. With the addition of Julia Klesse to the partnership, GLNS further strengthens its expertise in dispute resolution.

Der Private-Equity-Investor ECM Equity Capital Management GmbH ist bei dem Berliner Social Media Start-up Intermate Group eingestiegen. Die Transaktion erfolgte über den von ECM gemanagten Fonds German Equity Partners V. Die Gründer Alessandro De Pasquale, Jörn Mecher, Philip Papendieck, Sonja Wolff und Philipp Wolff halten weiterhin einen bedeutenden Anteil an ihrem Unternehmen und sind auch künftig als geschäftsführende Gesellschafter tätig.

The Merten Group, a mechanical engineering group from Austria, has acquired 100 percent of the share in the German company Gämmerler GmbH. The seller is Blue Cap AG, a Munich-based investment company that regularly invests in medium-sized niche companies with healthy core businesses and significant development potential. Blue Cap had acquired 100 percent of Gämmerler in 2011.

Munich-based multi-family holding Liberta Partners acquires e*Message Wireless Information Services Deutschland GmbH and e*Message Wireless Information Services France GmbH, based in Berlin and Paris. The acquisition is being made via Liberta Partners Fund II.

The investment company CGS has sold its majority stake in SF Tooling Group GmbH to the Swedish group Storskogen. SF Tooling is the world market leader in the production of die-casting moulds and tools for the automotive and aerospace industries.

Dr Sebastian Schneider joined the dispute resolution department of GLNS on 1 September 2021. He previously worked in the corporate and litigation & arbitration practice groups of Latham & Watkins in Hamburg and in the litigation & arbitration practice group of DLA Piper in Munich for many years.

GLNS has advised the shareholders of the software consulting company verovis GmbH on the merger with the digital solutions, consulting and software company valantic. With the merger of verovis and valantic, customers in the field of planning and reporting will in the future have an end-to-end solution portfolio between ERP and control processes for the digitalization of the finance function available from a single source.
