Stock corporation and capital market law

Advising listed companies and their executive bodies and shareholders requires comprehensive expertise. GLNS has many years of experience in this area and is regularly mandated by well-known companies and investors from a wide range of industries.

GLNS assists listed companies with coporate "housekeeping," the preparation and conduct of annual general meetings, capital measures and integration and structural measures (taking private). In addition, we represent companies, shareholders and board members in court proceedings, in particular in actions for annulment and nullity against resolutions of general meetings, in release and judicial appraisal  proceedings, and in actions for damages due to breaches of duty (manager liability and D&O issues).

Shareholders, strategic investors and financial investors have relied on GLNS for years when acquiring or selling shares in listed companies, exercising their shareholder rights, and in IPOs and capital measures.
